Vestige2Go Master Client Service Agreement

This Agreement is entered into between the subscribing organization ("Client") and PHD Urban Solutions, LLC, doing business as Vestige2Go ("Vestige2Go", "Company", "we", "us", or "our").

By checking the acceptance box, submitting information, creating an account, or using the Vestige2Go platform, Client agrees to be bound by this Agreement.

1. Services Provided
Vestige2Go provides an online platform and related services for fundraising journals, souvenir books, supporter advertisements, sponsorships, uploads, donations, reporting, and related event tools.

2. Independent Contractor Relationship
Vestige2Go is an independent contractor and service provider. Nothing in this Agreement creates a partnership, employment, agency, or joint venture relationship.

3. Authority to Bind Organization
Client represents that the individual accepting this Agreement has authority to act on behalf of the organization.

4. Collection of Funds
Client authorizes Vestige2Go to collect and process event-related payments on behalf of the organization through approved payment methods.

5. Authorized Deductions
Vestige2Go may deduct applicable fees, processing charges, refunds, disputes, and approved costs prior to payout.

6. Disbursement of Net Funds
Net proceeds will be remitted within five (5) business days following event closeout and reconciliation.

7. Chargebacks and Reversals
Client remains responsible for reversed transactions and authorizes offset from future payouts or invoicing.

8. Client Responsibilities
Client is responsible for compliance, approvals, and content accuracy.

9. Content Ownership
Client warrants all uploaded materials are authorized for use.

10. Deadlines
Vestige2Go is not responsible for delays caused by incomplete submissions.

11. Limitation of Liability
Vestige2Go is not liable for indirect or consequential damages.

12. Governing Law
This Agreement is governed by the laws of Virginia.

13. Electronic Acceptance
Electronic acceptance constitutes a binding agreement.
