VESTIGE2GO MASTER CLIENT SERVICES AGREEMENT Version 1.1 Effective August 21, 2026 This Master Client Services Agreement (“Agreement”) is entered into between PHD Urban Solutions, LLC, a Delaware limited liability company doing business as Vestige2Go (“Vestige2Go,” “Company,” “we,” “us,” or “our”), and the organization identified during enrollment (“Client”). The individual accepting this Agreement represents that the individual has authority to enter into this Agreement on behalf of Client. By checking the acceptance box and submitting Client’s enrollment, Client agrees to this Agreement and consents to conduct this transaction electronically. 1. SERVICES Vestige2Go provides a software platform and related services that assist organizations with event fundraising, souvenir journals and books, supporter advertisements, sponsorships, patron acknowledgments, donations, uploads, payment tracking, reporting, digital flipbooks, event administration, and related services. The specific services available to Client depend on the plan, event configuration, order summary, and optional services selected by Client. Vestige2Go may use qualified third-party providers to deliver portions of the Services. 2. CLIENT PLAN AND FEES Client agrees to pay the prices and fees disclosed in the selected plan, enrollment summary, order form, or other written pricing presented before acceptance. Fees may include setup fees, plan fees, optional service fees, payment-processing fees, transaction fees, per-item platform fees, design fees, printing fees, shipping charges, or other disclosed charges. The applicable enrollment or order summary is incorporated into this Agreement. If an order summary conflicts with this Agreement concerning price, plan, or selected services, the order summary controls for those specific commercial terms. This Agreement controls in all other respects. Except where required by law or expressly stated otherwise, earned setup, platform, design, and service fees are nonrefundable. 3. INDEPENDENT CONTRACTOR Vestige2Go is an independent contractor and technology service provider. Nothing in this Agreement creates an employment, partnership, fiduciary, franchise, agency, trustee, escrow, or joint-venture relationship between Vestige2Go and Client. Vestige2Go is not authorized to make representations or commitments on Client’s behalf except for limited technical instructions submitted to third-party providers as necessary to deliver the Services. 4. AUTHORITY AND CLIENT INFORMATION Client represents and warrants that: a. the person accepting this Agreement is legally authorized to bind Client; b. Client is validly organized or otherwise authorized to conduct its activities; c. all information provided to Vestige2Go or Stripe is accurate, complete, and current; d. Client will promptly update information that becomes inaccurate or incomplete; and e. Client has obtained all approvals necessary to conduct its event and fundraising activities. Vestige2Go may suspend onboarding, payment activity, publication, or access if authority or submitted information cannot be verified. 5. STRIPE CONNECT AND PAYMENT PROCESSING Vestige2Go uses Stripe, Inc. and its affiliates (“Stripe”) as its third-party payment-services provider. Client must create or connect an eligible Stripe account before accepting online payments through Vestige2Go. Client must complete Stripe’s identity, banking, tax, ownership, business-verification, and other onboarding requirements and separately accept Stripe’s applicable agreements and policies during Stripe-hosted onboarding. Client must maintain an active Stripe account with accurate and current ownership, business, tax, banking, representative, and payout information. Client is responsible for responding promptly to Stripe verification and compliance requests. Client authorizes Vestige2Go to use Stripe Connect to perform activities reasonably necessary to provide the Services, including: a. creating or facilitating payment transactions; b. accessing account, capability, balance, payout, transaction, refund, and dispute information; c. applying disclosed Vestige2Go fees; d. facilitating authorized refunds, reversals, adjustments, transfers, or payouts where supported by the configured Stripe services; and e. receiving and processing Stripe events and maintaining corresponding transaction records within Vestige2Go. Stripe, not Vestige2Go, provides the underlying payment-processing and payout services. Vestige2Go is not a bank, financial institution, money transmitter, escrow agent, trustee, payment network, or financial adviser. Vestige2Go does not take custody of Client’s event proceeds. Eligible proceeds are processed and paid through Client’s connected Stripe account according to Stripe’s applicable agreements, payout schedules, verification requirements, reserves, and risk controls. Vestige2Go does not guarantee that Stripe will approve, maintain, or provide any payment capability to Client. If Client does not complete or maintain Stripe onboarding, verification, and required payment capabilities, Vestige2Go may suspend payment collection and related transaction services. Vestige2Go is not responsible for Client’s inability to accept payments or receive payouts resulting from incomplete verification, inaccurate information, Stripe restrictions, banking restrictions, or suspension or termination of Client’s Stripe account. Vestige2Go may authorize a written exception for an engagement that does not include online payment collection. Any exception must be expressly documented by Vestige2Go and does not authorize Client to collect payments through the platform without an eligible connected Stripe account. 6. TRANSACTION PROCEEDS AND AUTHORIZED FEES Subject to Stripe’s processing, Client is entitled to the base amounts charged for Client’s advertisements, sponsorships, patron acknowledgments, donations, tickets, or other event offerings, less any amounts Client is responsible for under this Agreement or the applicable transaction configuration. Client authorizes Vestige2Go and Stripe, as applicable, to calculate, collect, deduct, transfer, or offset: a. Stripe and other payment-processing fees; b. Vestige2Go setup, plan, platform, per-item, and optional-service fees disclosed before enrollment or transaction; c. refunds, reversals, disputes, and chargebacks; d. negative balances and associated fees; e. taxes, reserves, penalties, or assessments attributable to Client’s activity; and f. other amounts expressly authorized by Client. Depending on Client’s event configuration, disclosed transaction fees may be paid by Client or added to the amount paid by the purchaser. The transaction screen will disclose applicable purchaser-facing charges before payment. If Client authorizes Vestige2Go fees to be collected from event sales, Client authorizes the applicable amounts to be deducted or transferred until the outstanding Vestige2Go balance is satisfied. 7. PAYOUTS Stripe controls the availability and timing of payouts from Client’s connected Stripe account. Vestige2Go does not guarantee a specific payout date. Payouts may be delayed, withheld, reversed, or suspended because of Stripe processing schedules, identity verification, compliance review, reserves, disputes, negative balances, suspected fraud, banking delays, government action, legal requirements, incomplete information, or circumstances outside Vestige2Go’s reasonable control. Client is responsible for maintaining accurate bank-account and payout information with Stripe. Vestige2Go is not responsible for delays or losses caused by Stripe, financial institutions, payment networks, inaccurate Client information, or Client’s failure to complete required verification. 8. CLIENT’S RESPONSIBILITY TO PURCHASERS AND SUPPORTERS Client is responsible for its event and for all obligations to purchasers, advertisers, sponsors, patrons, donors, contestants, honorees, and supporters. These responsibilities include: a. accurately describing the event, products, advertisements, acknowledgments, sponsorships, benefits, and fundraising purposes; b. delivering promised goods, services, recognition, advertising placement, event admission, or other benefits; c. establishing and communicating cancellation and refund policies; d. responding to customer-service inquiries and complaints; e. providing legally required notices, disclosures, acknowledgments, and receipts; and f. ensuring that event proceeds are used consistently with Client’s representations. Vestige2Go provides technology and administrative tools. Vestige2Go is not the organizer, sponsor, charitable beneficiary, seller, or provider of Client’s event offerings unless a separate written agreement expressly states otherwise. 9. REFUNDS, DISPUTES, CHARGEBACKS, AND NEGATIVE BALANCES Unless Client establishes a different lawful policy, transactions are considered final after submission, except where a refund is required by law or approved by Client. Client is responsible for decisions concerning refunds and for all disputes, chargebacks, reversals, penalties, and negative balances arising from Client’s transactions, representations, activities, goods, or services. Client authorizes Vestige2Go and Stripe, as applicable, to: a. facilitate refunds approved by Client; b. provide transaction information reasonably available to respond to a dispute; c. deduct disputed, refunded, or reversed amounts and associated fees from available funds; d. offset amounts owed against future transaction proceeds; e. establish or maintain reserves where permitted; and f. invoice or otherwise recover unpaid balances from Client. Client must promptly provide requested information concerning a transaction, complaint, refund, or dispute. Vestige2Go does not guarantee the result of any dispute or chargeback. 10. FUNDRAISING AND REGULATORY COMPLIANCE Client is solely responsible for determining whether its activities constitute charitable solicitation, fundraising, gaming, a raffle, a sweepstakes, or another regulated activity. Client represents that it possesses all registrations, licenses, approvals, tax status, consents, and authorizations required for its organization, event, fundraising activity, and jurisdiction. Client is responsible for the accuracy of all representations regarding charitable status, tax deductibility, beneficiaries, use of proceeds, prizes, goods, services, and event purposes. Vestige2Go does not provide legal, accounting, fundraising-registration, or tax advice and does not represent that a payment made through the platform is tax-deductible. 11. CLIENT CONTENT AND PERMISSIONS “Client Content” includes text, names, photographs, logos, advertisements, artwork, video, audio, documents, personal information, and other materials submitted by or for Client. Client retains its ownership rights in Client Content. Client grants Vestige2Go a nonexclusive, worldwide, royalty-free license during the term of this Agreement to host, store, copy, format, resize, reproduce, display, publish, transmit, and otherwise process Client Content as reasonably necessary to provide, secure, support, demonstrate, and administer the Services. Client represents and warrants that: a. it owns Client Content or has obtained all permissions necessary for its use; b. Client Content does not infringe intellectual-property, privacy, publicity, contractual, or other rights; c. Client has obtained legally sufficient consent to submit photographs and personal information, including information concerning minors where applicable; and d. Client Content is accurate and lawful. Vestige2Go may remove or decline content that it reasonably believes violates this Agreement, applicable law, third-party rights, or platform-security requirements. 12. CONTENT ACCURACY, DEADLINES, AND APPROVALS Client is responsible for reviewing names, dates, amounts, advertisements, photographs, layouts, acknowledgments, and other Client Content for accuracy. Client must meet all submission, review, approval, and payment deadlines communicated by Vestige2Go. Vestige2Go is not responsible for omissions, errors, reduced production options, publication delays, printing delays, or event delays caused by incomplete, inaccurate, late, or unapproved Client Content. Client’s approval of a proof or final publication authorizes Vestige2Go to proceed based on that approved version. 13. ACCOUNTS AND SECURITY Client is responsible for: a. safeguarding usernames, passwords, access links, and verification credentials; b. assigning access only to authorized representatives; c. promptly removing access for representatives who are no longer authorized; d. activity conducted through Client’s accounts; and e. notifying Vestige2Go promptly of suspected unauthorized access. Vestige2Go may suspend access when reasonably necessary to protect the platform, Client, supporters, other users, or third parties. 14. DATA, PRIVACY, AND THIRD-PARTY SERVICES Vestige2Go will process personal information according to its applicable Privacy Policy and reasonable security practices. Client authorizes Vestige2Go to share information with Stripe and other service providers as necessary to provide payment processing, hosting, email, document generation, storage, security, support, and related Services. Client is responsible for providing any notices and obtaining any consents required for the information Client collects or submits through the platform. Third-party services are governed by their respective terms and may change, suspend, or discontinue functionality. Vestige2Go is not responsible for a third party’s independent acts or omissions. 15. VESTIGE2GO INTELLECTUAL PROPERTY Vestige2Go and its licensors retain all rights in the platform, software, workflows, interfaces, templates, documentation, branding, designs, automation, source code, databases, processes, and other Vestige2Go materials. Except for the limited right to use the Services during the Agreement, no Vestige2Go intellectual-property rights are transferred to Client. Client may not copy, reverse engineer, circumvent, resell, sublicense, scrape, interfere with, or create derivative works from the platform except where applicable law expressly prohibits such a restriction. 16. SERVICE AVAILABILITY AND CHANGES Vestige2Go will use commercially reasonable efforts to provide the Services but does not guarantee uninterrupted or error-free operation. The Services may be unavailable because of maintenance, upgrades, security events, Internet failures, cloud-provider failures, third-party-service failures, emergencies, or circumstances outside Vestige2Go’s reasonable control. Vestige2Go may modify the platform to improve functionality, security, compliance, or performance, provided that the modification does not materially eliminate a paid core service during Client’s active event without a reasonable substitute or remedy. Beta, preview, or experimental features may be changed or discontinued without notice. 17. TERM, SUSPENSION, AND TERMINATION This Agreement begins when Client electronically accepts it and continues while Client maintains an account, has an active event, owes an outstanding amount, or continues using the Services. Vestige2Go may suspend or terminate access if Client: a. fails to pay an amount when due; b. violates this Agreement or applicable law; c. creates a security, fraud, payment, reputational, or legal risk; d. provides materially inaccurate information; e. fails to complete or maintain Stripe onboarding, verification, or payment capabilities required for Client’s use of transaction services; f. uses the platform in a manner that threatens the platform or other users. When reasonably practical, Vestige2Go will provide notice and an opportunity to cure a nonemergency violation. Client may discontinue future use by providing written notice, subject to outstanding fees, active transactions, disputes, production obligations, and any separately disclosed cancellation terms. Termination does not eliminate rights or obligations arising before termination. Sections concerning payment, disputes, content permissions needed to complete or preserve prior work, intellectual property, confidentiality, indemnification, liability, records, and dispute resolution survive termination. 18. CONFIDENTIALITY Each party may receive nonpublic business, technical, financial, or operational information from the other party. The receiving party will use such information only to perform or receive the Services and will protect it using reasonable care. Confidentiality obligations do not apply to information that: a. is publicly available without breach; b. was lawfully known without restriction; c. is received lawfully from another source; or d. is independently developed without use of the other party’s confidential information. A party may disclose information when legally required, provided it gives advance notice when legally permitted. 19. WARRANTIES AND DISCLAIMERS Each party represents that it has authority to enter into this Agreement. Except for express commitments in this Agreement, the Services are provided “as is” and “as available.” To the maximum extent permitted by law, Vestige2Go disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, uninterrupted availability, and results. Vestige2Go does not guarantee fundraising results, sales, attendance, donations, advertising revenue, journal quality resulting from Client-supplied materials, Stripe approval, payment authorization, dispute outcomes, or payout timing. 20. CLIENT INDEMNIFICATION Client will defend, indemnify, and hold harmless PHD Urban Solutions, LLC, Vestige2Go, and their officers, members, employees, contractors, and agents from third-party claims, damages, judgments, penalties, losses, costs, and reasonable attorneys’ fees arising from: a. Client’s event, fundraising activity, goods, services, promises, or representations; b. Client Content; c. Client’s violation of law or third-party rights; d. a refund, dispute, chargeback, negative balance, tax obligation, or customer complaint attributable to Client; e. Client’s misuse of the Services; or f. Client’s breach of this Agreement. Vestige2Go will promptly notify Client of an indemnified claim and allow Client to control the defense, provided Client may not settle a claim in a manner that admits wrongdoing by or imposes an obligation on Vestige2Go without Vestige2Go’s written consent. 21. LIMITATION OF LIABILITY To the maximum extent permitted by law, Vestige2Go and its officers, members, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, goodwill, business opportunity, or anticipated savings. Except for liability that cannot legally be limited, Vestige2Go’s aggregate liability arising from or relating to this Agreement or the Services will not exceed the greater of: a. the total fees paid directly by Client to Vestige2Go during the twelve months preceding the event giving rise to the claim; or b. five hundred dollars ($500). These limitations apply regardless of the legal theory, even if Vestige2Go was advised that damages were possible and even if a remedy fails of its essential purpose. Nothing in this Agreement limits liability to the extent a limitation is prohibited by applicable law. 22. FORCE MAJEURE Neither party is responsible for delay or failure caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fire, epidemic, war, terrorism, civil unrest, government action, utility failure, labor disruption, Internet or telecommunications failure, cyberattack, cloud-service failure, payment-network failure, or failure of a third-party provider. This section does not excuse Client’s obligation to pay amounts already earned or incurred. 23. ELECTRONIC RECORDS AND ACCEPTANCE Client consents to conduct this transaction electronically and agrees that electronic acceptance has the same effect as a handwritten signature. Client authorizes Vestige2Go to create and retain an electronic record of: a. the accepted Agreement and version; b. the acceptance date and time; c. the accepting representative and organization; d. the selected plan, pricing, and enrollment summary; e. reasonable technical evidence used to attribute the acceptance; and f. subsequent amendments or order summaries accepted by Client. Vestige2Go will provide Client with an electronic copy of the accepted Agreement or make it available for download. Client may withdraw consent to future electronic transactions by notifying Vestige2Go in writing. Withdrawal does not invalidate prior electronic acceptance and may prevent continued use of Services that require electronic administration. 24. NOTICES Vestige2Go may provide operational or contractual notices through the platform or by email to Client’s designated contact. Client must keep its contact information current. Formal legal notices to Vestige2Go must be sent to: PHD Urban Solutions, LLC dba Vestige2Go 1806 Summit Ave., Box #250 Suite 300 Richmond, VA 23230 Email: support@vestige2go.com A notice is effective when delivered, except that an email is not considered a formal notice of legal process. 25. CHANGES TO THIS AGREEMENT Vestige2Go may update this Agreement prospectively for future services, renewals, plans, or events. A material change affecting an active paid engagement will not apply retroactively unless Client accepts the change or the change is required by law, Stripe, a payment network, or a security requirement. The version accepted by Client will remain associated with Client’s enrollment record. 26. GOVERNING LAW AND VENUE This Agreement is governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law principles. Any legal action arising from or relating to this Agreement or the Services must be brought exclusively in a state court located in the City of Richmond, Virginia, or the United States District Court for the Eastern District of Virginia, Richmond Division. Each party consents to the personal jurisdiction and venue of those courts. Before filing a legal action, the parties will make a good-faith effort to resolve the dispute through written notice and business-level discussion for at least thirty days, unless immediate relief is reasonably necessary to protect data, intellectual property, confidential information, funds, or legal rights. 27. GENERAL TERMS Client may not assign this Agreement without Vestige2Go’s written consent. Vestige2Go may assign this Agreement in connection with a merger, reorganization, financing, sale of assets, or transfer of the Vestige2Go business. If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. Headings are for convenience and do not affect interpretation. This Agreement, together with the accepted enrollment summary, applicable order forms, incorporated policies, and separately accepted Stripe terms, constitutes the entire agreement concerning the Services and supersedes prior discussions concerning the same subject. 28. CLIENT ACCEPTANCE By checking the acceptance box and submitting enrollment, the accepting individual confirms: a. I have authority to bind the organization identified in this enrollment; b. I have read and agree to the Vestige2Go Master Client Services Agreement, Version 1.1; c. I consent to conduct this transaction and receive records electronically; d. I understand that connecting and maintaining an eligible Stripe account is required to accept online payments through Vestige2Go, that payment services are provided by Stripe, and that I must separately accept Stripe’s applicable agreements and policies during Stripe-hosted onboarding; and e. the information submitted for the organization is accurate and complete. Stripe connection is required to accept online payments through Vestige2Go. Payment services are provided by Stripe. You will complete Stripe’s secure onboarding and accept Stripe’s applicable agreements directly with Stripe.

We will collect only their name and email. They receive payment-setup access only. Sensitive identity and banking information is entered directly in Stripe.

Secure payment setup through Stripe. Your organization does not need an existing Stripe account. An authorized financial representative must complete Stripe’s identity and banking verification before live fundraising can begin. Vestige2Go does not store that information.
